These Terms of Service govern your relationship with the Ecord platform ("the Platform"). By registering or using the Platform, you agree to these Terms in full. If you do not agree, please do not use the Platform.

1. Service Description

Ecord is an order and delivery management platform that helps merchants organize their orders, customers, drivers, and financial settlements, with tools for importing, syncing, and geographic zone detection, plus a driver app and a merchant control panel.

2. Registration and Account

• You must provide accurate and correct information when registering.
• You are responsible for keeping your login credentials confidential.
• You are responsible for all activity conducted through your account.
• The Platform is for adults only: you must be 18 years of age or older.

3. Free Trial and Pricing

• Monthly plans or other pricing options may be offered inside the Platform, with details shown before you subscribe.
• Prices and plans may change from time to time; material changes are communicated when reasonably possible, and current prices always appear in-app.
• Payment is made via the in-Platform wallet/balance using available methods.
• Monthly subscription: Cancelling turns off auto-renewal (`auto_renew`); the subscription continues until the end of the paid period, then the account may return to per-order billing if applicable. There is no automatic refund for unused remaining time unless stated in-app or agreed in writing.
• Charges for processed orders or completed periods are not automatically refunded, except for a clear Platform error or as decided by the operator.

4. Merchant Responsibilities for Customer Data

• You acknowledge that you have the legal right to collect and process your customers' data.
• You agree to use the Platform in accordance with applicable data protection laws.
• We process this data on your behalf solely to provide the service.

5. Acceptable Use

The Platform may not be used for any of the following:

• Any illegal or fraudulent activity.
• Attempting to hack, damage, or harm the Platform or its users.
• Uploading content or data that violates the law or the rights of others.
• Abusing resources or attempting to circumvent service limits by illegitimate means.

6. Service Availability

We strive to provide the service continuously, but we do not guarantee that the Platform will be available uninterrupted or error-free. We may perform maintenance or updates that temporarily affect availability.

7. Platform Ownership & Intellectual Property

• The Platform, its software, interfaces, trademarks, design, and technical content are owned by or licensed to the Platform operator.
• You receive a limited, non-exclusive, non-transferable license to use the Platform only while your account/subscription is active.
• You may not copy, resell, reverse-engineer, or create derivative works from the Platform without written permission.
• Your business data and customer data remain yours; the Platform may use aggregated, anonymized data to improve the service.

8. Disclaimer & Limitation of Liability

The Platform is provided "as is". To the extent permitted by law, we are not liable for any indirect, consequential, or other losses arising from use of the Platform, including data loss, business interruption, or operational decisions by you, your drivers, or shipping companies. You are responsible for keeping copies of your important data. Our total aggregate liability to you for any claim shall not exceed the greater of (a) the amounts you paid to the Platform in the twelve months before the claim, or (b) EGP 500 if no such payments exist.

9. Merchant Indemnity

You agree to indemnify and hold the Platform operator harmless from claims, losses, or costs (including reasonable fees) arising from: (a) your customer data or content; (b) your breach of these Terms or the law; (c) disputes with your customers, drivers, or shipping providers — to the extent permitted by law.

10. Account Termination

• You may terminate your account at any time.
• We reserve the right to suspend or terminate accounts that violate these Terms.
• Upon termination, you may request a copy of your data within a reasonable period.

11. Changes to the Terms

We may update these Terms from time to time. Your continued use of the Platform after an update constitutes your acceptance of the revised Terms. The “Last updated” date is shown at the top of this page.

12. Governing Law & Jurisdiction

These Terms are governed by the laws of the Arab Republic of Egypt. Any dispute arising from them or from use of the Platform shall be subject to the exclusive jurisdiction of the competent Egyptian courts, unless a mandatory legal provision requires otherwise.
